Terms of Service
These terms govern your access to and use of our website and services. By using the site, you agree to these terms.
- Agreement to terms. By accessing or using our website or services, you agree to these Terms. If you do not agree, you must stop using the site and services.
- Services. We provide digital/educational content services and related consulting as described on our website and in written agreements. Service details, deliverables, and timelines may vary by project.
- Eligibility. You must be legally able to enter into contracts to use our services. If you act on behalf of a company, you confirm you have authority to bind that entity.
- Quotes and proposals. Quotes are estimates unless stated otherwise and may expire after a stated period. Final scope is confirmed in writing before work begins.
- Scope and deliverables. Deliverables, milestones, and deadlines are defined in the project agreement or written confirmation. Changes to scope may affect pricing and timing.
- Client responsibilities. You agree to provide accurate information, timely feedback, and any required materials. Delays caused by missing inputs may shift timelines.
- Communication. Both parties agree to professional communication and reasonable response times. We may request clarifications to ensure quality and accuracy.
- Intellectual property. We retain ownership of our methods, templates, tools, and pre-existing materials. Unless otherwise agreed, you receive rights to use final deliverables as specified in your agreement.
- License to use deliverables. Upon full payment, you may use deliverables for internal business purposes unless a broader license is granted. You may not resell or redistribute deliverables as standalone products without written permission.
- Third-party materials. If a project uses third-party assets, those assets may have separate licenses. You are responsible for complying with third-party license terms when applicable.
- Revisions. Revision rounds and included adjustments are defined in your package or agreement. Additional revision cycles or major changes may require additional fees.
- Payments. Payment structure (deposit, milestones, final payment) is defined in the agreement. Late payments may delay delivery until the account is brought current.
- Delivery and acceptance. We deliver via agreed channels (email, shared drive, LMS export, etc.). If you do not report issues within a reasonable period, deliverables may be considered accepted.
- Confidentiality. Both parties may receive confidential information during a project. Both parties agree to use it only for the project and to take reasonable steps to keep it protected.
- Prohibited use. You agree not to use our services for unlawful purposes or to infringe others’ rights. You also agree not to misuse our site, including attempts to disrupt security or functionality.
- Disclaimers. Unless explicitly stated, our services do not provide legal, medical, or certified advice. You remain responsible for how you implement and use deliverables.
- Limitation of liability. To the extent permitted by law, total liability is limited to the amount paid for the relevant services. We are not liable for indirect or consequential damages.
- Termination. Either party may terminate according to the agreement terms. Fees for work completed and costs incurred may remain payable at termination.
- Governing law. Governing law and dispute procedures may be specified in your project agreement. If not specified, disputes will be handled under a reasonable jurisdiction tied to the provider.
